Cannabis Law Group
As of February 3, 2022, 37 states, three territories and the District of Columbia allow the medical use of cannabis products. Use of cannabis has been legalized in 39 states and the District of Columbia. The recreational or adult-use of cannabis is also legal in DC and 18 states. The rapid growth of the regulated cannabis and CBD industries has caused much excitement as companies and investors look to participate in the boom. However enticing it may be, though, the still-green industry presents significant challenges, chief among them the fact that cannabis remains illegal federally and is classified as a Schedule 1 narcotic along with heroin and LSD. Our cannabis group’s experience with publicly-traded companies, investors and investment banks that participate in this space means that we have a valuable understanding of what is needed to successfully navigate complex and evolving regulations. We provide our clients with the following:
- Entity Formation
- Corporate and Securities Matters
- Due Diligence
- Mergers and Acquisitions
- Government Regulations
- Banking & Financing
- Interpretations of the Farm Bill
- Trademarks & Patents
- Licensing Agreements
SRF is a pioneer in the cannabis landscape, having represented its first publicly-traded cannabis company in 2015 and having successfully steered one of the first registrations statements for a cannabis company through the Securities and Exchange Commission. Our firm is also successfully navigated difficult issues presented by both FINRA and the OTC Markets regarding cannabis companies that “touch the leaf” or are in ancillary businesses.
In addition to our practical, hands-on experience, the group considers and engages the cannabis industry intellectually. Members of our team teach courses at New York-area law schools, publish academic articles, and help develop continuing legal education courses on the legal cannabis industry. For a current map of states in which cannabis has been legalized in some form, click here.
