Ryan Houseal joined Sichenzia Ross Ference LLP in 2021. Mr. Houseal's practice focuses on representing public and private companies across a wide range of industries, as well as underwriters, in the public and private offering of debt, equity and convertible securities. Mr. Houseal's practice also includes advising public companies on corporate matters, such as corporate governance and compliance with the US federal securities laws and the requirements of the major US stock exchanges and the OTCBB.
After law school, Mr. Houseal joined an international firm in New York City where he represented issuers and underwriters in a variety of comple securities transactions. Mr. Houseal also advised Fortune 500 companies on US Securities and Exchange Commission (SEC) and stock exchange reporting and disclosure requirements.
Mr. Houseal is a former Staff Attorney with the U.S. Securities & Exchange Commission, Division of Corporation Finance. While a Staff Attorney, Mr. Houseal served as a member of the Commission's Shareholder Proposal Taskforce for the 2009 proxy season.
Mr. Houseal received his J.D. from the University of Michigan Law School in Ann Arbor, where he served as the editor in chief of the Michigan Journal of Race & Law. During law school, Mr. Houseal authored "Beyond the Business Judgment Rule: Protecting Bidder Firm Shareholders From Value-Reducing Acquisitions," published in volume 37, Issue 1 of the University of Michigan Journal of Law Reform.
Mr. Houseal received his B.A. in legal studies and political science from the City College of New York of the City University of New York.
